The Board of Directors

The Board of Directors

• concludes and terminates contracts of affiliation
• appoints the Director and Deputy
• appoints the Statutory Auditors and Pension Actuary
• approves the annual financial statements
• initiates restructuring measures
• decides whether and how provisions are created
• decides whether joint pension plans are formed

In particular, the Board of Directors issues:

• the Corporate and Organisational Regulations
• the Risk Policy principles
• the Regulations governing the Provisions and Reserves
• the Investment Guidelines, including the strategic asset allocation
• the Data Processing Regulations
• the Cost Regulations
• the Framework Pension Plan Regulation

The Investment Committee has six members: two employee and two employer representatives from the Board of Directors, and three external experts. 

PUBLICA’s Director and Head of Asset Management are consultative members. 

The tasks of the Investment Committee are as follows:

• submitting proposals for the strategic asset allocations
• monitoring and complying with the Investment Guidelines and the strategic asset allocations
• regularly exchanging information with Asset Management
• monitoring compliance with the external mandate agreements and internal directives
• approving property transactions (purchases, sales, projects) up to an investment value of CHF 100 million
• reporting periodically to the Board of Directors on investments and administration
• notifying the Chair and Vice-Chair without delay when it identifies deviations from the Investment Guidelines or the strategic asset allocation

The Audit Committee has six members: three employer and three employee representatives from the Board of Directors. PUBLICA’s Head of Resources is a consultative member.

The Audit Committee has the following tasks:

• reviewing the annual financial statements and the Pension Actuary’s report
• discussing the statements with the Director and Deputy, the head of the Statutory Auditors and the Pension Actuary
• assessing whether quality management is operating correctly, and involving Risk Management in the process
• assessing compliance with standards

The Actuarial Policy and Law Committee has four members: two employer and two employee representatives from the Board of Directors, and PUBLICA’s Head of Pensions as a consultative member. 

The Actuarial Policy and Law Committee has the following tasks:

• addressing issues of pension policy and its implementation
• keeping up to date with legislation on occupational pensions and related areas
• reviewing PUBLICA’s legal and organisational structures to establish whether they are expedient and flexible.
